What Should I Look for in a Same Day Company Formation Agent?

Choosing a Reliable Same Day Company Formation Agent

Check Whether “Same Day” Really Means Same Day

A Same Day Company Formation Agent should be able to explain exactly what its service means rather than simply using “same day” as a marketing phrase. Companies House currently charges £156 for same day incorporation through its software service and requires applications to be submitted by 3pm Monday to Friday. Standard digital incorporation costs £100 and is normally processed within 24 hours, although complex applications can take longer.

That distinction matters. A formation agent may promise rapid processing but still depend on you supplying accurate information first. If your registered office details, director information, shareholder details or company name create an issue, incorporation can be delayed.

A professional agent should therefore tell you:

• The actual Companies House filing deadline

• Whether its own fee is separate from the statutory filing fee

• What happens if Companies House rejects the application

• Whether amendments or resubmissions cost extra

• When you should realistically expect your certificate of incorporation

Verify the Agent’s Companies House Process

Speed should never come at the expense of accuracy. A good formation agent should understand the Companies Act requirements and know what information Companies House needs before submitting an application.

For a typical private limited company, this includes the proposed company name, registered office, registered email address, directors, shareholders and persons with significant control. The agent should also explain the articles of association and whether standard model articles are appropriate.

I have seen clients concentrate so heavily on getting a company incorporated before a contract deadline that they overlook basic details. A misspelt director name or unsuitable registered office arrangement can create unnecessary administrative work later.

The agent should have a clear checking process before submission rather than simply entering whatever information the client provides.

Look Beyond the Headline Formation Price

The cheapest formation package is not automatically the best value. Some agents advertise a very low initial price and then charge separately for services that a new business actually needs.

Before paying, compare exactly what is included.

Service

Why it matters

Companies House filing

Required for incorporation

Registered office service

Helps protect privacy and receive official correspondence

Business address

Useful where a home address should not be publicly displayed

Confirmation statement support

Helps maintain Companies House records

Corporation Tax registration

Important after starting business activities

PAYE registration

Relevant if the company will employ staff or pay directors through payroll

Accounting support

Helps with annual accounts and tax compliance

Companies House currently charges £50 for a digital confirmation statement filing, so a responsible agent should explain the continuing obligations rather than presenting incorporation as the end of the process.

Make Sure the Agent Understands Tax as Well as Formation

Company formation and taxation are connected, but they are not the same thing. A formation agent should understand where its service ends and where professional accounting or tax advice becomes necessary.

For example, incorporation does not mean that a company automatically becomes tax efficient. A director may need to consider salary, dividends, benefits, pension contributions and reimbursed expenses. The company may also need PAYE registration and Corporation Tax compliance.

For the 2026 financial year, Corporation Tax is 19% for companies with profits under £50,000 and 25% for companies with profits over £250,000, with marginal relief applying between those limits in qualifying circumstances. Associated companies can affect the thresholds.

A formation agent should not promise that every new company will pay 19% Corporation Tax. That would be an oversimplification.

Check Whether Payroll Support Is Available

A new company often begins with the owner becoming its first director. That creates practical payroll questions which inexperienced formation agents may overlook.

If the director is paid through PAYE, the company needs appropriate payroll arrangements and Real Time Information reporting. The director’s National Insurance position also needs to be considered.

For 2026 to 2027, the standard Personal Allowance is £12,570 and employee Class 1 National Insurance for category A is generally 8% between the primary threshold and upper earnings limit, reducing to 2% above the upper earnings limit. Employer Class 1 National Insurance is generally 15% above the secondary threshold.

A formation agent does not necessarily have to provide payroll itself. However, it should be able to tell you whether payroll is included, available as an additional service or something you need to arrange separately.

Ask What Happens After Incorporation

One of the strongest signs of a professional Same Day Company Formation Agent is the quality of its aftercare.

In practice, incorporation is only the beginning. Once the certificate arrives, the directors still have responsibilities concerning company records, accounts, tax returns, confirmation statements and changes to company information.

Ask whether the agent provides reminders for:

• Confirmation statement filing

• Annual accounts

• Corporation Tax deadlines

• PAYE obligations

• Registered office correspondence

• Changes involving directors or shareholders

• Persons with significant control

• Changes to the company’s registered details

This is particularly important for first time directors. A fast incorporation is useful, but a company that remains compliant after incorporation is far more valuable.

Practical Checks Before You Instruct an Agent

Confirm Who Is Actually Providing the Service

Before instructing a formation agent, identify the legal entity you are dealing with. Check its trading name, company details, contact information and terms of business.

You should be able to obtain a proper invoice and understand exactly who is responsible for your application. Avoid relying solely on a polished website or a telephone promise.

A professional provider should be comfortable explaining its process and should not pressure you into purchasing unrelated services simply because you want rapid incorporation.

Check the Registered Office and Privacy Arrangements

Your registered office is not merely a mailing address. It is the official address where statutory communications can be sent and where certain company documents may be inspected.

If you operate from home, using a professional registered office service may help separate your residential address from the company's public information. However, directors should understand that Companies House transparency requirements still apply and that privacy services do not make a company anonymous.

Ask the agent whether its registered office service includes forwarding official correspondence and whether there are additional charges for scanning, forwarding or handling documents.

Understand What You Are Getting for Corporation Tax Registration

Companies House's online incorporation service can also register a company for Corporation Tax and optional PAYE where the service is applicable.

That does not remove the director's responsibility to ensure the company's tax affairs are correctly managed.

For example, suppose a company starts trading in September and makes £30,000 of taxable profits during its first accounting period. The director should not simply assume that incorporation automatically deals with the Corporation Tax return. Accounting periods, taxable profits, allowable expenses and filing dates all need to be considered.

A good formation provider should clearly distinguish registration from ongoing tax compliance.

Look for Practical Experience With New Directors

The best formation advice often comes from someone who understands the problems that arise after incorporation.

A first time director may ask whether business expenses can be paid personally, whether the company can reimburse mileage, when dividends can be declared or whether a company bank account is essential.

These questions involve accounting and tax considerations rather than company formation alone.

An experienced adviser should explain the difference between company money and personal money. For example, withdrawing funds from a company is not automatically a dividend. Dividends must be properly declared from available distributable profits and recorded appropriately.

That practical distinction can prevent serious bookkeeping and tax problems later.

Check Whether the Agent Provides Clear Ongoing Costs

Before agreeing to a package, ask for the full cost rather than simply the promotional formation price.

A useful comparison should identify:

• Initial incorporation fee

• Companies House statutory fee

• Registered office charges

• Business address charges

• Confirmation statement support

• Company secretarial services

• PAYE registration or payroll fees

• VAT registration support

• Accounting and Corporation Tax fees

• Charges for changing directors or registered details

This matters because a £30 formation package can become considerably more expensive if several essential services are added later.

The statutory Companies House digital incorporation fee is currently £100, while the same day software incorporation service is £156.

Make the Decision Based on Compliance, Not Just Speed

The right Same Day Company Formation Agent should make incorporation faster without making compliance harder.

Before choosing one, I would look for five things: transparent pricing, accurate Companies House knowledge, clear explanations, sensible aftercare and access to qualified accounting or tax support when the business moves beyond formation.

Speed is valuable when a client needs a company ready for a commercial contract, property transaction or business launch. But speed should never encourage rushed decisions about shareholders, directors, share structure, registered addresses or tax arrangements.

A properly established company gives the director a sound administrative foundation from day one. The best formation agent therefore does more than submit a form quickly. It helps the new business owner understand what has been created, what must happen next and which responsibilities remain with the company and its directors.
